In connection with the German Act Implementing the Second Shareholders' Rights Directive (Gesetz zur Umsetzung der zweiten Aktionärsrechterichtlinie (ARUG II)) and the new German Corporate Governance Code in the version effective as of 20 March 2020, the Supervisory Board resolved on a new remuneration system for the Board of Management. The remuneration system adopted by the Supervisory Board has been submitted to the Annual General Shareholders' Meeting on 23 July 2021 for approval under agenda item 6. The Annual General Shareholders' Meeting approved the remuneration system for the Board of Management with a majority of 100% of the valid votes cast.
The refined remuneration system has been submitted to the Annual General Shareholders' Meeting on 11 June 2024 for approval under agenda item 8. The Annual General Shareholders' Meeting approved the refined remuneration system for the Board of Management with a majority of 100% of the valid votes cast.
The remuneration paid to the Supervisory Board members is set out in Art. 13 of the company's articles of association. The remuneration of the Supervisory Board members was submitted to the Annual General Shareholders' Meeting on 23 July 2021 for resolution under agenda item 7. The Annual General Shareholders' Meeting confirmed the remuneration of the Supervisory Board members with a majority of 100% of the valid votes cast.
